Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your access to and use of the ModuleX websites, applications, APIs, and related services (the "Service") operated by ModulexAI, LLC ("ModuleX," "we," "us," "our"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you confirm that you have authority to bind that organization.
2. Eligibility and Account
You must be at least 18 years old and able to enter a binding contract. You are responsible for the confidentiality of your credentials, for everything that happens under your account, and for promptly notifying security@modulex.dev of any suspected unauthorized access.
3. The Service
ModuleX provides tools to design, run, and manage workflow automations across the services you connect. The Service is not designed for use under regulated regimes (HIPAA, GLBA, PCI-DSS, etc.) unless we expressly agree in writing. You may not use the Service in a way that would require such compliance absent that written agreement.
4. Plans, Fees, and Cancellation
We offer free, trial, and paid plans. Paid plans may include subscription fees and usage-based fees (compute, execution, storage, AI inference), described at purchase. Subscriptions renew automatically until you cancel from your account or by contacting support@modulex.dev. Cancellations take effect at the end of the then-current paid period. Fees are non-refundable except where required by law.
5. Your Content
You retain all rights in the data, code, prompts, workflows, inputs, and outputs you submit to or generate through the Service ("Customer Content"). You grant ModuleX a limited, worldwide license to host, process, and display Customer Content solely to provide and maintain the Service as described in our Privacy Policy.
If you submit feedback or suggestions, you grant us a perpetual, royalty-free right to use them without restriction.
6. Connected Services, BYOK, and Google APIs
When you connect a third-party service (Google Workspace, Microsoft 365, Slack, etc.) via OAuth, we store the tokens needed to run your workflows (encrypted at rest) until you revoke access. You can revoke at any time from the service's permissions page (for example, myaccount.google.com/permissions).
If you use Bring Your Own Key (BYOK) for AI providers, we handle your API keys transiently for the duration of an active session or workflow run and then discard them. You are responsible for your relationship with those third-party providers (costs, permissions, compliance) and for ensuring you have rights to transmit any data through your workflows.
When you connect Google services, ModuleX complies with the Google API Services User Data Policy, including the Limited Use requirements. Full commitments are in our Privacy Policy.
7. Acceptable Use
You will use the Service in compliance with applicable law and these Terms. You will not: attempt unauthorized access, disrupt or interfere with the Service, scrape at scale, reverse engineer (except where law permits), use the Service to build a competing product, transmit malware, send spam or phishing, or use the Service to infringe the rights of others or for any illegal purpose.
8. AI Outputs
The Service may generate outputs based on your inputs (including via third-party AI services you connect). AI outputs may contain errors, inaccuracies, or biased content. You are solely responsible for reviewing AI outputs, verifying their accuracy, and applying human review before relying on them, especially for legal, medical, financial, or other high-stakes decisions.
9. Intellectual Property
ModuleX and its licensors own all right, title, and interest in the Service, including the software, templates, UI, and documentation. You may not use our trademarks without prior written permission. Other than the limited rights expressly granted to you, no rights are granted by implication.
10. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODULEX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODULEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MODULEX IN THE 12 MONTHS BEFORE THE EVENT, OR (B) US$100.
11. Indemnification
You will indemnify, defend, and hold harmless ModuleX and its officers, directors, employees, and agents from any third-party claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Content, your workflows and BYOK usage, or your violation of these Terms or applicable law.
12. Suspension and Termination
We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, you pose a security risk, or we are required to do so by law. You may terminate at any time by canceling your account. On termination, your right to use the Service ends, but sections intended to survive (intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution) survive.
Where the Service offers export functionality, you may export Customer Content during the term and for a limited period after termination. After that, we may delete Customer Content per our retention practices (see Privacy Policy).
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. You agree to first attempt to resolve disputes informally by contacting legal@modulex.dev. If a dispute is not resolved within 30 days, either party may pursue claims in the state or federal courts located in Delaware, and both parties consent to personal jurisdiction and venue there, except where mandatory consumer protection laws in your jurisdiction require a different forum.
14. Changes
We may update these Terms from time to time and will update the "Last Updated" date. For material changes we will provide reasonable notice (email or in-product) at least 30 days before the effective date. Continued use of the Service after that date means you accept the updated Terms.
